Terms of Service
Please read these Terms carefully before using Quorum. By accessing or using the Service,
you agree to be bound by these Terms. If you do not agree, do not use the Service.

Acceptance
These Terms are a binding agreement between you and Quorum AI, Inc., a Delaware corporation (“Quorum”, “we”, “us”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
These Terms cover the free tier, all paid plans, the API, the mode marketplace, and Mode Maker payouts. Where a section applies only to one of those, it says so.
Eligibility & Accounts
You must be at least 18 years old to create an account and to purchase a paid plan. A person aged 13 to 17 may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on their behalf and remains responsible for their use. The Service is not available to anyone under 13.
You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Accounts are for a single person. If you need access for several people, use seats under a Q-Teams plan rather than sharing one login.
Tell us promptly at support@quorum.dog if you believe your account has been used without your permission.
Service Description
The Service provides tools for structured reasoning, analysis, and review using multiple AI models working in deliberation.
Which models run for a given request depends on your plan and on the Mode you are using, and the underlying model catalog changes as providers release, update, and retire models. We do not guarantee that any particular model remains available.
Important: The Service does not provide legal, medical, financial, or other professional advice, and does not draft filings or make decisions on your behalf. Outputs are informational and require your independent judgment.
Plans & Billing
The Service offers a free tier and paid plans. The plan names, prices, and billing intervals available to you are the ones displayed at checkout, and those displayed prices govern.
- Billed in advance. Paid plans are charged at the start of each billing period, monthly or annually depending on the interval you choose.
- Automatic renewal. Paid plans renew automatically for successive periods at the then-current price until you cancel. You may cancel at any time under Section 06.
- Q-Teams seats. Q-Teams is billed per seat with a minimum quantity of three seats. You choose your seat count at checkout and may change it afterwards; changes are prorated by our payment processor against the remainder of the period.
- Taxes. Prices exclude sales, use, VAT, GST, and similar taxes, which are added where applicable.
- Price changes. We may change prices. A change takes effect no earlier than your next renewal, and we will give you notice before that renewal so you can cancel first if you prefer.
- Failed payment. If a charge fails, we may retry it, and we may suspend or downgrade your plan until payment succeeds.
Payments are processed by Stripe. We do not receive or store your full card number.
Turbo Credits & Auto-Reload
Turbo credits are an optional one-time purchase that adds usage headroom to your account beyond what your plan includes. They are consumed as you use the Service.
- Credits do not expire. A Turbo balance stays on your account until you use it.
- Credits have no cash value, cannot be transferred between accounts, and are not redeemable for cash.
- Credits are not a plan. They do not change which models or features your tier gives you.
Auto-reload. Auto-reload is off unless you turn it on in Settings. While it is on, and only when your balance would otherwise stop a request you have made, you authorize us to charge your saved payment method for the smallest Turbo pack we offer and apply it to your balance. We will not charge more than three such reloads in any rolling 24-hour period. You can turn auto-reload off at any time in Settings, which stops any further reload charges immediately.
Cancellation & Refunds
You may cancel a paid plan at any time from your account settings or the billing portal.
- Cancellation takes effect at the end of your current paid period. You keep access to the paid features you have already paid for until that period ends, and you are not charged again.
- Partial periods are not refunded by default. We do not automatically prorate a refund for the unused remainder of a period.
- Deleting your account cancels immediately. If you delete your account outright rather than cancelling, an active subscription is cancelled at once with no refund for the current period.
- Turbo credits are non-refundable once purchased. They also do not expire, so an unused balance remains available while your account is open.
We may issue a refund at our discretion, for example where you were charged in error or where a defect on our side made the Service unusable for a period. Ask at support@quorum.dog.
Your local law comes first. Nothing in this section limits any refund, cancellation, or withdrawal right you have under mandatory consumer law where you live. Where such a right applies, it overrides the defaults above.
Q-Teams & Organizations
A Q-Teams plan creates an organization. The person who purchases it becomes its first administrator.
- Administrators manage the organization: they invite and remove members, assign and reclaim seats, and control the plan and its billing.
- Administrators do not have access to the content of other members' sessions. Managing someone's seat is not the same as being able to read their work, and we do not give administrators that access.
- Removing a member, or the organization's plan lapsing, ends that member's paid access. It does not transfer ownership of their content to the organization or to the administrator.
- The organization is responsible for its members' use of the Service under these Terms.
If you were invited to an organization by your employer or another party, that party controls the seat, and these Terms govern your use of it alongside whatever agreement you have with them.
Ownership
- Your Content: You retain all right, title, and interest in your Inputs and Outputs.
- No Claim by Us: We claim no ownership in Outputs. To the extent any rights could vest in us, they are assigned to you.
- License to Operate: You grant us a limited, non-exclusive license to process Inputs solely to provide the Service to you.
- Modes you build: A Mode you create is yours on the same terms as the rest of your content. Publishing one to the marketplace is a separate, voluntary step governed by Section 10.
No Training on Your Content
We do not use your Inputs or Outputs to train AI models, and we do not use your content for cross-user learning of any kind.
We may use aggregated, anonymized, content-free metrics — such as latency, error rates, and model identifiers — to improve the reliability and performance of the Service. These metrics contain no content from your sessions.
Modes You Publish
This section applies only if you choose to publish a Mode to the marketplace. Building and using Modes privately is covered by Section 08.
- You keep ownership. Publishing does not transfer your Mode to us.
- License to list and run it. You grant us a non-exclusive, worldwide, royalty-free license to host, display, execute, describe, and promote your published Mode and its listing for as long as it is listed — which is what it takes to show it in the marketplace and run it for the people who use it.
- You warrant that you can. You confirm the Mode is yours to publish, that publishing it does not infringe anyone's rights or breach an obligation you owe someone else, and that it does not violate Section 13.
- Review is required and ongoing. Every submission goes through our review before it is listed. We may reject a submission, and we may delist or suspend a listed Mode at any time — including for accuracy, safety, or legal reasons. We aim to tell you why.
- We test what we list. We run published Modes to evaluate, certify, and monitor them, and we may publish the resulting performance figures — including unflattering ones — alongside the listing.
- You can withdraw it. Delisting stops new use going forward. It does not retroactively undo use that already happened or payouts already earned.
Mode Maker Payouts
A published Mode may earn a share of subscriber revenue. This section governs that arrangement.
- What is shared, and how much. Where a call is attributable to your Mode directly — API and MCP traffic, which carries the Mode on the request — your share is 45% of net margin: revenue attributed to your Mode by measured usage, less the actual compute cost that Mode consumed. Subscriber traffic cannot be attributed to a single Mode the same way, because one subscription funds many Modes, so it is settled from a shared pool divided by each Mode’s measured share of use in the period. Attribution is per Mode, not per maker.
- What is not yet fixed. The pool formula for subscriber traffic is not final and is not published here yet. No Mode Maker payout has been made to date, so no maker is relying on it. We will publish it before the first payout, not after.
- How you are paid. Payouts are made through Stripe Connect to an account you own and control. You must complete that account's identity and tax onboarding before any payout can be released.
- Holdback. Earnings settle after a 60-day holdback period, which is what allows refunds and chargebacks to be resolved without reclaiming money already paid to you.
- Taxes are yours. You are responsible for reporting and paying any tax on what you earn. We may withhold where law requires and may need tax documentation from you first.
- No guaranteed amount. Nothing here promises any level of earnings. A Mode that is not used earns nothing.
- Adjustment and withholding. We may withhold, reverse, or reclaim a payout that arose from fraud, manipulated usage, chargebacks, or a breach of these Terms. We may change the revenue share on notice; a change applies to earnings accrued after it takes effect, never retroactively.
API Access & Your Provider Keys
This section applies if you use the API or supply your own model-provider credentials.
- Your API key is a secret. You are responsible for keeping it confidential and for all use made of it. Tell us immediately if it is exposed and we will help you rotate it.
- Limits. API access is subject to rate and concurrency limits, which we may adjust to keep the Service stable for everyone.
- No resale of raw model access. You may not use the API to resell or proxy bare access to the underlying models, or to build a substantially similar competing service.
- We may revoke. We may suspend or revoke a key for abuse, for a breach of these Terms, or where it threatens the stability or security of the Service.
Bring your own keys. If you supply your own provider credentials, we store them encrypted and use them only to route the requests you direct through them. Those requests go to that provider under your agreement with them, not ours. You are responsible for the charges they incur and bound by that provider's terms, and we are not responsible for that provider's availability, output, pricing, or handling of your data. You can remove your keys at any time.
Acceptable Use & Ethical Red Lines
You agree not to use the Service to enable, rehearse, justify, or narratively construct serious harm to yourself or others, including self-harm or mass violence.
Requests in these categories will be declined. We reserve the right to suspend access for violations of this section without prior notice.
You also agree not to:
- Attempt to circumvent safety controls or prompt the Service to ignore its operational guidelines
- Use the Service to generate content that harasses, threatens, or discriminates against any person
- Reverse-engineer, scrape, or systematically extract model outputs for competitive purposes
- Misrepresent Outputs as professional advice of any kind
- Interfere with the Service's operation, or attempt to gain access to accounts, data, or systems that are not yours
Professional Boundary — No Advice, No Reliance
Outputs from the Service are informational in nature and require your independent professional judgment. The Service is not a substitute for qualified legal, medical, financial, or other professional advice.
You are solely responsible for reviewing, verifying, and deciding how to use any Output. We expressly disclaim any liability arising from reliance on Outputs without independent review.
Support Access
Support personnel do not have standing access to your content. Content access, if ever required for issue resolution, requires your explicit, time-boxed consent and is logged in our audit trail.
You may revoke consent at any time, after which access is immediately terminated.
Suspension & Termination
We may suspend or terminate access to the Service for misuse that poses a risk of harm to any person, or for material violation of these Terms. We will make reasonable efforts to provide notice except where doing so would itself cause harm or legal exposure.
You may stop using the Service and close your account at any time. Section 06 covers what happens to an active plan and to Turbo credits when you do.
If we terminate your account for a breach of these Terms, we may delist Modes you have published and withhold unsettled earnings connected to that breach. Sections 08, 09, 17, 18, and 20 survive termination.
Disclaimers
Limitation of Liability
To the maximum extent permitted by applicable law, our aggregate liability to you for any claims arising from or related to the Service is limited to the greater of (a) the fees you paid to us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.
Changes to These Terms
We may update these Terms as the Service changes. The version number and effective date at the top of this page always reflect the current version.
For a material change — one that meaningfully affects your rights, what you pay, or how we handle your content — we will give you notice by email or in the product before it takes effect, and the change will not apply retroactively to a period you have already paid for.
Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, cancel your plan and stop using the Service.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction in those courts.
If any provision of these Terms is held unenforceable, the rest remain in full force and the unenforceable provision is applied to the maximum extent permitted.
